BCDE LOGISTICS, LLC

TERMS AND CONDITIONS

Newark, New Jersey

Effective Date: September 15, 2026

Last Updated: September 15, 2026

These Terms and Conditions (“Terms”) govern the use of services provided by BCDE Logistics, LLC (“BCDE Logistics,” “BCDE,” “we,” “our,” or “us”). By requesting, booking, accepting, or using a service, the customer or contracting party (“Client,” “you,” or “your”) agrees to these Terms, together with any applicable written quote, service agreement, order confirmation, estimate, bill of lading, tariff, or other service-specific document issued by BCDE Logistics.

If a service-specific agreement or document conflicts with these Terms, the service-specific document will control to the extent of the conflict. Mandatory federal, state, or local laws and regulations always control over conflicting contract language.

1. About BCDE Logistics

BCDE Logistics is a New Jersey-based logistics and transportation company. Our current services include Medical Logistics, Pharmacy Delivery, Courier Services, Cold Chain Solutions, Elite Black Car, and Moving Services.

Services may be provided directly by BCDE Logistics or, where permitted and appropriate, through qualified employees, independent contractors, carriers, or other service partners. The specific service arrangement and applicable law determine the responsibilities of each party.

2. Services

BCDE Logistics may provide the following services, subject to availability, applicable law, and the terms of the applicable booking or agreement:

  • Medical Logistics — transportation and coordination of medical specimens, equipment, supplies, and other authorized healthcare-related materials.
  • Pharmacy Delivery — delivery and transportation services for pharmacies and authorized clients, subject to applicable handling and delivery requirements.
  • Courier Services — scheduled, same-day, time-sensitive, and other business or commercial delivery services.
  • Cold Chain Solutions — transportation or handling of temperature-sensitive shipments when the required temperature range, packaging, monitoring, and service requirements have been agreed upon in advance.
  • Elite Black Car — prearranged passenger transportation services, subject to applicable vehicle, driver, insurance, and transportation requirements.
  • Moving Services — moving and transportation services for residential or commercial property, subject to the applicable estimate, inventory, service agreement, and any federal, state, or local requirements.

BCDE Logistics may decline a request when a shipment, passenger, move, route, requested service, packaging method, material, or operating condition presents a safety, legal, regulatory, insurance, or operational concern.

3. Service Requests and Acceptance

Service requests may be submitted through approved channels, including telephone, email, website forms, online booking systems, or other channels designated by BCDE Logistics. A request is not guaranteed until BCDE Logistics confirms acceptance and, when applicable, provides a quote, booking confirmation, estimate, or service agreement.

Quotes and estimates are based on the information provided by the Client and may be adjusted when actual service conditions differ materially from the information provided, subject to applicable law and any binding quote or agreement.

4. Client Responsibilities

The Client agrees to:

  • Provide accurate and complete information, including pickup and delivery locations, contact information, access instructions, service requirements, and any special handling needs.
  • Have shipments properly packaged, labeled, secured, and ready at the agreed pickup time, unless BCDE Logistics has expressly agreed in writing to provide those services.
  • Accurately disclose the nature, quantity, condition, value, and any known hazards or regulatory requirements associated with items being transported.
  • Comply with all applicable federal, state, and local laws and obtain permits, authorizations, or documentation that are the Client’s responsibility.
  • Not tender prohibited, illegal, unsafe, or undeclared hazardous materials.
  • For Moving Services, disclose stairs, elevators, parking/access restrictions, unusually heavy or oversized items, fragile or high-value property, and other conditions that may affect the service.
  • For passenger services, follow applicable safety instructions and comply with reasonable driver and vehicle-safety requirements.

5. Medical Logistics, Pharmacy Delivery, and Sensitive Shipments

Clients are responsible for providing complete and accurate handling, packaging, labeling, documentation, and temperature or security requirements applicable to their shipments. BCDE Logistics will perform agreed services in accordance with applicable laws, regulations, contractual requirements, and the procedures applicable to the service.

Where HIPAA applies and BCDE Logistics acts as a business associate, BCDE Logistics will handle Protected Health Information in accordance with applicable HIPAA requirements and the applicable Business Associate Agreement or other governing agreement. HIPAA does not apply to every shipment or every BCDE Logistics service.

Clients remain responsible for the accuracy and completeness of information and for packaging or preparation requirements assigned to them. BCDE Logistics may refuse or suspend a shipment that is improperly packaged, mislabeled, leaking, unsafe, or otherwise noncompliant.

6. Cold Chain and Temperature-Controlled Services

Cold Chain Solutions are subject to the temperature range, packaging, monitoring, handling, route, and delivery requirements agreed upon for the shipment. Unless expressly included in writing, BCDE Logistics does not guarantee a specific temperature outcome where the Client controls packaging, product preparation, loading, or other factors outside BCDE Logistics’ reasonable control.

Clients must disclose the required temperature range and any special handling or monitoring requirements before pickup.

7. Moving Services

Moving Services may include loading, transportation, unloading, and other agreed services. The scope, price, inventory, valuation/liability options, pickup and delivery arrangements, and claims procedures for a particular move will be stated in the applicable estimate, service agreement, bill of lading, tariff, or other required moving documents.

For interstate household-goods moves, BCDE Logistics will comply with applicable federal requirements and provide the documents and protections required by the Federal Motor Carrier Safety Administration (FMCSA) when applicable. Interstate household-goods moves may require FMCSA registration/operating authority, written estimates, consumer information, valuation/liability options, and other required documents. These requirements are not replaced by these general Terms.

BCDE Logistics will not accept an interstate household-goods move unless the company and the specific service arrangement are properly authorized and insured as required by law. If BCDE Logistics is acting only as a broker or arranging a third-party mover, that relationship will be disclosed and the applicable broker requirements will apply.

8. Pickup, Delivery, Access, and Scheduling

Pickup and delivery times are scheduled estimates unless BCDE Logistics expressly guarantees a time in writing. Traffic, weather, road closures, vehicle conditions, customer availability, building restrictions, loading or unloading conditions, governmental actions, and other circumstances may affect timing.

  • The Client must ensure reasonable and lawful access to pickup and delivery locations.
  • Additional waiting time, re-delivery, return-to-sender, storage, special handling, stairs, long carries, parking, or other accessorial charges may apply when disclosed or permitted under the applicable agreement.
  • If a recipient is unavailable, BCDE Logistics may follow the delivery instructions provided by the Client or contact the Client for further instructions. Additional charges may apply.

9. Fees, Invoicing, and Payment

  • Service fees will be stated in the applicable quote, booking confirmation, estimate, rate schedule, or service agreement.
  • Unless otherwise agreed in writing, invoices are due upon receipt.
  • Past-due amounts may be subject to a late charge of the lesser of 1.5% per month or the maximum amount permitted by applicable law.
  • BCDE Logistics may suspend or decline additional services for materially overdue accounts, subject to applicable law and any governing agreement.
  • The Client is responsible for reasonable collection costs, including attorneys’ fees, to the extent permitted by applicable law and contract.

10. Cancellations, Rescheduling, and No-Show

Cancellation and rescheduling terms may vary by service and will be stated in the applicable quote or service agreement. If no service-specific cancellation policy is provided, BCDE Logistics may charge reasonable costs actually incurred because of a late cancellation, failed pickup, no-show, or rescheduling request, to the extent permitted by law.

11. Loss, Damage, Delay, and Claims

BCDE Logistics will use reasonable care in handling property and performing services. Liability for loss, damage, or delay will be governed by the applicable service agreement, bill of lading, tariff, valuation/insurance selection, and mandatory federal or state law.

The general liability limitation in these Terms does not override mandatory consumer protections, applicable FMCSA household-goods requirements, or any other non-waivable legal obligation.

Unless a shorter period is required or permitted by the applicable service agreement or law, Clients should report loss, damage, shortage, or service-related claims promptly and provide photographs, receipts, inventory information, and other documentation reasonably requested by BCDE Logistics. For regulated or interstate moving services, the applicable statutory and contractual claims procedures control.

12. Prohibited and Restricted Items

Unless expressly accepted in writing and legally permitted, BCDE Logistics does not accept:

  • Illegal substances, contraband, or items prohibited by law.
  • Explosives, radioactive materials, or undeclared hazardous materials.
  • Firearms, weapons, or ammunition, except where expressly permitted by law and specifically accepted under applicable procedures.
  • Perishable or temperature-sensitive items that require conditions not included in the booked service.
  • Any shipment or item that presents an unreasonable safety, regulatory, insurance, or operational risk.

BCDE Logistics may refuse, isolate, return, or report a prohibited or unsafe shipment where permitted or required by law.

13. Passenger Transportation — Elite Black Car

Elite Black Car services are prearranged transportation services. Fares, cancellation policies, passenger limits, vehicle requirements, pickup instructions, and any special requests are governed by the applicable booking or service agreement.

Passengers must comply with applicable laws and reasonable safety instructions. BCDE Logistics may refuse or end a ride when a passenger’s conduct, condition, baggage, or requested activity creates an unreasonable safety or legal risk.

14. Confidentiality and Privacy

BCDE Logistics will handle Client information and shipment information in accordance with applicable law and the BCDE Logistics Privacy Policy. Where HIPAA applies, additional obligations may be established through a Business Associate Agreement or other applicable contract.

The Privacy Policy governs website and personal-information practices, while these Terms govern the provision and use of services. In the event of a conflict concerning privacy practices, applicable privacy law and the applicable privacy agreement control.

15. Force Majeure

BCDE Logistics is not responsible for failure or delay caused by circumstances beyond its reasonable control, including severe weather, natural disasters, traffic emergencies, road closures, governmental actions, labor disruptions, civil unrest, public health emergencies, accidents, vehicle breakdowns, utility or telecommunications failures, or other events that could not reasonably be prevented or avoided.

16. Indemnification

To the extent permitted by applicable law, the Client agrees to indemnify and hold harmless BCDE Logistics and its officers, employees, and agents from third-party claims, losses, damages, liabilities, and reasonable expenses arising from the Client’s breach of these Terms, unlawful or prohibited items, inaccurate or incomplete information, or the Client’s improper packaging, labeling, preparation, or failure to comply with applicable law.

17. Suspension or Termination

BCDE Logistics may suspend or terminate a service relationship or individual service when reasonably necessary for safety, legal or regulatory compliance, nonpayment, material breach, misrepresentation, prohibited items, or other material operational concerns. Where appropriate, the Client may cancel ongoing services according to the applicable service agreement.

18. Governing Law and Disputes

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law principles, except to the extent federal law or another mandatory law applies. Subject to any mandatory arbitration, federal jurisdiction, or service-specific dispute procedure, disputes will be brought in a court of competent jurisdiction in New Jersey.

19. Amendments

BCDE Logistics may update these Terms from time to time. The version in effect at the time of a new service request will generally apply to that request, unless a written service agreement states otherwise. Material changes to website terms will be posted with an updated effective date. Existing signed service agreements will remain governed by their own terms unless amended as permitted by those agreements.

20. Severability and Waiver

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the extent permitted by law. A failure by BCDE Logistics to enforce a provision on one occasion does not waive its right to enforce that provision later.

21. Entire Agreement

These Terms, together with any applicable quote, estimate, booking confirmation, service agreement, bill of lading, tariff, BAA, or other written agreement applicable to the service, constitute the agreement governing the applicable transaction, subject to mandatory law.
